Welcome to Industrial Retailer. These Terms of Service govern access to and use of our website, online store, products, services, features, content, and related tools, collectively referred to as the “Services.”
Throughout these Terms, “Industrial Retailer,” “we,” “us,” and “our” refer to Industrial Retailer. “You” and “your” refer to each visitor, customer, purchaser, or user of the Services.
By visiting the website, browsing the store, creating an account, placing an order, or using the Services, you agree to these Terms and the policies referenced here, including the Privacy Policy and Refund Policy.
1. ELIGIBILITY, ACCESS, AND ACCOUNTS
You confirm that you are at least the age of majority in your jurisdiction. You are responsible for information submitted through your account and for keeping login credentials secure.

2. PRODUCTS AND PRODUCT INFORMATION
Industrial Retailer makes reasonable efforts to describe products accurately. We do not guarantee that descriptions, photographs, colors, dimensions, fitment information, availability, pricing, or other content will always be complete, current, or error-free.
Product appearance may vary because of manufacturer revisions, production changes, lighting, photography, screen settings, or other factors.
We may update, change, discontinue, restrict, or limit a product or quantity at any time.
3. ORDERS AND ACCEPTANCE
Placing an order is an offer to purchase. An order is not finally accepted until Industrial Retailer accepts and processes it.
Industrial Retailer may accept, reject, hold, cancel, or modify an order because of product availability, pricing errors, suspected fraud, payment issues, shipping restrictions, incorrect information, or other operational concerns.
Review the order carefully before submission. Changes or cancellations are not guaranteed after processing begins.
4. PRICING, PAYMENT, AND BILLING
Prices, promotions, discounts, and availability may change without notice.
You agree to provide accurate billing information and represent that you are authorized to use the selected payment method.
Industrial Retailer may correct pricing, billing, or product-information errors, including after an order is submitted. If an order cannot be fulfilled at the corrected price or terms, we may cancel it and refund the amount collected for the canceled item.
5. SHIPPING AND DELIVERY
Shipping and delivery estimates are not guaranteed unless expressly confirmed in writing.
Industrial Retailer is not responsible for delays caused by carriers, suppliers, fulfillment locations, weather, natural disasters, labor disruptions, incorrect addresses, or circumstances outside our reasonable control.
Customers are responsible for providing a complete and deliverable address.
6. PRODUCT USE, FITMENT, AND INSTALLATION
Customers are responsible for determining whether a product is appropriate for their equipment and intended use before ordering, installation, connection, programming, modification, or operation.
Verify all part numbers, measurements, specifications, connectors, electrical requirements, model information, engine information, serial-number requirements, and installation requirements.
Where appropriate, products should be installed by a qualified professional.
Industrial Retailer is not responsible for losses caused by incorrect ordering, incorrect diagnosis, incompatibility, improper installation, misuse, modification, or use outside the intended specifications.
7. RETURNS, REFUNDS, AND WARRANTIES
Returns and refunds are governed by the Refund Policy. Warranty claims are governed by the Warranty Policy and any product-specific written terms.
Used, installed, connected, programmed, modified, damaged, repaired, rebuilt, or altered products may not be eligible for a standard return.
8. INTELLECTUAL PROPERTY
Website content, including design, logos, trademarks, text, graphics, icons, videos, software, layouts, and other materials, is owned by Industrial Retailer, our licensors, suppliers, or authorized third parties.
You may not copy, reproduce, modify, distribute, sell, publish, scrape, download, reverse engineer, or commercially exploit content without written permission, except where applicable law permits.
9. OEM AND COMPATIBILITY REFERENCES
OEM names, trademarks, model numbers, and part numbers may be used solely for identification, reference, and compatibility purposes.
Unless expressly stated, Industrial Retailer is not affiliated with, sponsored by, endorsed by, or authorized by the referenced original equipment manufacturer.
10. THIRD-PARTY SERVICES AND LINKS
The Services may use tools, applications, payment processors, shipping integrations, embedded features, fulfillment services, or links operated by third parties.
Those services may have their own terms and privacy practices. Industrial Retailer is not responsible for third-party websites or services except as required by law.
11. ONLINE STORE PLATFORM
The store is hosted or supported by Shopify and other service providers. Information may be processed by these providers as needed to operate the store, process payments, prevent fraud, fulfill orders, and provide Services.
Purchases are transactions between the customer and Industrial Retailer, not between the customer and Shopify or another platform provider.
12. CUSTOMER FEEDBACK AND SUBMISSIONS
If you submit a review, comment, photo, suggestion, idea, or other content, you grant Industrial Retailer a worldwide, royalty-free, perpetual, sublicensable, and transferable right to use, reproduce, edit, publish, display, distribute, and promote that content in any format.
You represent that you have the right to submit the content and that it does not violate law or third-party rights.
13. ERRORS, INACCURACIES, AND OMISSIONS
Website information may occasionally contain errors, omissions, or outdated details related to descriptions, pricing, availability, shipping, promotions, or fitment.
Industrial Retailer may correct information, update content, or cancel affected orders at any time.
14. PROHIBITED USES
You may not use the Services:
• For illegal, fraudulent, harmful, or malicious activity
• To violate applicable law
• To infringe intellectual-property or other rights
• To submit false or misleading information
• To transmit malware or harmful code
• To interfere with security or website operation

15. TERMINATION

Obligations that by their nature should survive termination will remain in effect.
16. DISCLAIMER OF WEBSITE WARRANTIES
The website and Services are provided on an “as available” basis to the fullest extent permitted by law.
Industrial Retailer does not guarantee that the website will always be uninterrupted, secure, timely, accurate, or error-free.
Product warranty rights, when applicable, are governed by the Warranty Policy and product-specific written terms. Nothing in these Terms eliminates rights that cannot be waived under applicable law.
17. LIMITATION OF LIABILITY
To the fullest extent permitted by law, Industrial Retailer and its owners, employees, contractors, suppliers, service providers, affiliates, and partners will not be liable for indirect, incidental, special, punitive, consequential, or similar damages arising from the Services or a product purchase.
This includes lost profits, lost revenue, loss of use, replacement costs, labor charges, installation or removal costs, diagnostic fees, equipment downtime, and business interruption.
Some jurisdictions do not permit certain limitations, so portions of this section may not apply.
18. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Industrial Retailer and its owners, employees, affiliates, contractors, suppliers, licensors, and service providers from claims, losses, liabilities, costs, and expenses arising from:
• Your violation of these Terms
• Misuse of the Services
• Violation of law or third-party rights
• Content or reviews you submit
• Your purchase, installation, modification, resale, or use of a product
This obligation applies to the fullest extent permitted by law.
19. SEVERABILITY
If a provision is found unlawful or unenforceable, it will be enforced to the maximum lawful extent, and the remaining provisions will continue in effect.
20. WAIVER AND ENTIRE AGREEMENT
Failure to enforce a provision is not a waiver.
These Terms, together with posted policies and notices, form the agreement governing use of the Services.
21. ASSIGNMENT
You may not assign these Terms without written consent. Industrial Retailer may assign or transfer its rights and obligations as permitted by law.
22. GOVERNING LAW
These Terms and related agreements are governed by the laws of the State of Missouri, without regard to conflict-of-law principles.
Any dispute shall be brought in an appropriate state or federal court located in Missouri, unless applicable law requires another venue.
23. CHANGES TO THESE TERMS
Industrial Retailer may revise these Terms by posting an updated version. The current version will be available on this page.
Continued use after a revision is posted constitutes acceptance to the extent permitted by law.
